1. Eligibility

you are accessing the Services on behalf of a company or organization, you represent that
you have the authority to bind that entity to these Terms.
2. Services
Thoth AI provides an AI-powered SaaS platform for e-commerce and marketing operations
optimization. We reserve the right to modify, update, or discontinue any aspect of the
Services at any time without prior notice.
3. Accounts
To access certain features, you must create an account and provide accurate, complete, and
up-to-date information. You are responsible for maintaining the confidentiality of your
account and for all activities that occur under it.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of applicable laws.
- Interfere with or disrupt the operation of the Services.
- Reverse-engineer, decompile, or attempt to extract the source code of the Services.
- Use the Services to infringe upon the intellectual property or privacy rights of others.
5. Data Collection & Usage
By using the Services, you grant Thoth AI the right to collect, store, analyze, and process
data from your connected accounts, stores, and platforms for the purposes of:
- Operating and improving our Services.
- AI training and performance enhancement.
- Generating analytics, insights, and recommendations.
- Commercial analysis to improve client profitability.
Thoth AI owns all rights to aggregated and anonymized data derived from customer usage
of the Services.
6. Intellectual Property
All intellectual property rights in the Services, including but not limited to software,
algorithms, designs, logos, and trademarks, are owned by Thoth AI or its licensors. You are
granted a limited, non-exclusive, non-transferable license to use the Services in accordance
with these Terms.
7. Fees & Payment

Use of the Services may require payment of subscription fees as outlined in your service
plan. All fees are non-refundable unless otherwise stated in a written agreement.
8. Warranties & Disclaimers
The Services are provided 'as is' and 'as available.' Thoth AI disclaims all warranties,
express or implied, including warranties of merchantability, fitness for a particular purpose,
and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, Thoth AI shall not be liable for any indirect,
incidental, special, or consequential damages, including loss of profits, revenue, data, or
goodwill, arising from your use of the Services.
10. Termination
We may suspend or terminate your account or access to the Services at any time, with or
without cause, and without prior notice.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Alberta,
Canada, without regard to conflict of law provisions.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Updates will be posted on our
website, and continued use of the Services after such changes constitutes your acceptance of
the updated Terms.
